Depending on the venture, we consider taking on both board representation as well as possible equity interests. In certain ventures, we attend board meetings as an observer representative of our client, or in other select ventures, as a director representing our client shareholders. Board attendance enables us to remain current with our client's business, and also allows us to give early input on developing business strategy, identifying potential pitfalls and ways to avoid them.
As the new company grows, we help it develop and negotiate its agreements for technology and content acquisition, licensing and distribution. Strategic alliances are an important component to the growth plan of convergence companies. We help our clients consider the business, intellectual property, and other legal issues that arise in their corporate partnering transactions and joint ventures. As emerging market industries consolidate and expand, X [Ventures] assists clients as they consider potential mergers and acquisitions, and we work as a key member of a deal team with our client's legal and accounting advisors, and investment bankers, to structure and close transactions.

We are prepared to get deeply involved early in a potential deal, and stay with our client in the transaction through operational stages and board representation.
